These Terms and Conditions ("Terms") govern your access to and use of the website dineverse.in, any associated mobile applications, and related services (collectively, the "Platform") provided by Dineverse Solutions Private Limited ("Dineverse", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Dineverse Solutions Private Limited. We may update these Terms from time to time. Continued use of the Platform after changes constitutes your acceptance of the revised Terms. We encourage you to review the Terms periodically.

2. Our Services

Dineverse operates an online platform that connects users ("Customers") with restaurant partners ("Restaurant Partners") for food ordering, and facilitates delivery through independent delivery partners ("Delivery Partners").

  • We act as an intermediary and do not own, prepare, or deliver the food ourselves (except where explicitly stated).
  • All orders are placed directly between the Customer and the Restaurant Partner on a principal-to-principal basis.
  • We do not guarantee the quality, safety, or availability of food items listed on the Platform. Customers are advised to check allergen information and other details directly with the restaurant.

3. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are eligible to enter into a contract under the Indian Contract Act, 1872, and that all information provided by you is accurate and complete.

4. User Account

  • You may need to create an account to place orders. You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to provide accurate, current, and complete information and to update it as necessary.
  • We reserve the right to suspend or terminate your account if we suspect any misuse, fraud, or violation of these Terms.

5. Placing Orders and Payments

  • All orders placed through the Platform are subject to acceptance by the Restaurant Partner.
  • Prices displayed on the Platform are set by the Restaurant Partners and may include platform fees, delivery charges, taxes (including GST), and packaging charges.
  • Payments can be made through available modes (online payment gateways, cash on delivery where available, etc.).
  • Once an order is confirmed, it cannot be cancelled except as per our Cancellation and Refund Policy.
  • We may charge convenience fees, platform fees, or surge pricing during peak hours.

6. Delivery

  • Delivery timelines are estimates provided by Delivery Partners and are not guaranteed.
  • Dineverse is not liable for any delays caused by traffic, weather, Restaurant Partners, or Delivery Partners.
  • Customers must provide accurate delivery addresses. We are not responsible for incorrect or incomplete addresses.
  • For cash-on-delivery orders, exact change may be required.

7. Cancellations and Refunds

  • Orders can be cancelled only before confirmation by the restaurant or dispatch by the delivery partner, subject to cancellation fees.
  • Refunds (if applicable) will be processed as per our Refund Policy and credited to the original payment method within [X] business days.
  • No refunds will be issued for orders that have been prepared or dispatched, except in cases of quality issues verified by Dineverse.

8. Restaurant Partners

  • Restaurant Partners are independent entities responsible for food preparation, hygiene, FSSAI compliance, and pricing.
  • By listing on the Platform, Restaurant Partners agree to comply with all applicable laws, including food safety standards and prohibition on single-use plastics where mandated.
  • Dineverse does not endorse any Restaurant Partner and is not liable for any issues arising from food quality, hygiene, or packaging.

9. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose.
  • Post false, misleading, or defamatory content (reviews, comments, etc.).
  • Attempt to manipulate prices, orders, or ratings.
  • Harass, abuse, or threaten any user, restaurant, or delivery partner.
  • Reverse engineer, copy, or modify any part of the Platform.

All reviews and ratings must be genuine and based on actual experiences.

10. Intellectual Property

All content on the Platform (logos, trademarks, text, images, software) is owned by Dineverse or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes.

11. Disclaimers and Limitation of Liability

  • The Platform is provided "as is" without warranties of any kind.
  • Dineverse disclaims all liability for:
    • Any food-related issues (quality, allergy, spoilage, contamination).
    • Any loss, damage, or injury arising from use of the Platform or consumption of ordered food.
    • Delays, non-delivery, or incorrect orders.
  • Our total liability shall not exceed the value of the order in question.
  • We are not liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Dineverse, its directors, officers, employees, and affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

15. Miscellaneous

  • Force Majeure: We are not liable for any failure or delay due to events beyond our reasonable control (e.g., natural disasters, pandemics, government restrictions).

  • Severability: If any provision is held invalid, the remaining provisions remain in effect.

  • No Waiver: Failure to enforce any right does not constitute a waiver.
